Call for Nominations: EMC’s 2024-25 Board of Directors

The By-laws provide for the election of members of the Electric Mobility Canada Board of Directors at each Annual General Meeting. Our next Annual General Meeting is scheduled for 2:00 pm to 3:30 pm (Eastern Time) on Thursday May 23, 2024 on a virtual platform.

In 2023, the Governance and Nominating Committee assessed the current Board to consider its diversity, representation, and any skill gaps. Finance and Audit skills and experience were identified as an area of priority. The Committee is encouraging Members to ensure their votes for new Directors at the upcoming AGM include at least one person with finance and audit skills and experience (specifically not-for-profit or corporate experience on a Finance and Audit Committee or finance and audit work experience).

Any nominees with experience or expertise in areas of finance and auditing should note this in their submissions.

Current EMC bylaws stipulate that members are elected for a two-year term at the Annual General Meeting, and can include a minimum of 8 and a maximum of 17 members. There are currently no term limits. EMC has 17 Board Members (as per the table below) which also shows that 9 of the 17 members have terms ending at this year’s Annual General Meeting.

The Governance and Nominations committee will be recommending changes to the EMC bylaws to

(1) move to a three-year term for Board members, from the current term of two years

(2) introduce term limits such that Board members would serve a maximum of three, three year terms, starting at the passage of a motion, and

(3) confirm that the board elects its chair, and will be bringing motions to this effect at the AGM.

To implement this change, the nominations committee is proposing to stagger the elections such that, after 2 years, 1/3 of the Board would renew each year, helping result in reduced risk of knowledge loss and improved continuity with Board roles.

With the bylaw changes, the individuals elected at the 2024 Annual General Meeting for the first two years, candidates will be elected for either a two- or a three-year term. The revised by-laws will be shared with the members of EMC for review prior to the AGM.

Eligibility and Evaluation

To serve on a Board of Directors, candidates must be eligible to serve on a board; willing to attend 6 or more Board meetings held annually; participate in strategic planning meetings; Board governance training sessions; in addition to actively participate in a leadership role on an EMC committee, working group and/or other initiatives.

We continue to strive for a diverse, inclusive, and representative Board taking into consideration:

  • Financial & audit experience
  • Legal experience
  • Industry knowledge/experience
  • Past board experience
  • Equity, diversity and inclusion
  • Strategic value to EMC and the Board of Directors
  • EMC membership representation (member categories, regions across Canada, and bilingualism)

Our by-laws further provide that only voting members can serve on the board of directors. Voting and non-voting associates are the following:

Voting Members

  1. Industry or Fleet (Vehicle Original Equipment Manufacturers, EVSE Suppliers, other product and service suppliers, municipal and public fleets, private fleets, public transit systems
  2. Utilities (provincial, local distribution companies, municipal)
  3. Not-for-profit organizations and academics (Research centres and universities, related organizations, labour organizations)

Non-voting Associates

  1. Associate individuals (EV drivers and enthusiasts, students, individuals)
  2. Associate organizations (Government agencies at all levels)

Nomination Process and Timelines

  • Each nomination must be submitted using this link where you will be asked to submit:
    • a short resume of the nominee (1-2 pages);
    • up to 200 words highlighting the nominee’s interest in joining the board and any previous board experience and especially noting any financial and audit experience
  • If you wish to nominate another voting member, the consent of the nominee is required.
  • Shortlisted nominees will be notified, and their application (resume and summary) will be sent to all voting members prior to the Annual General Meeting. A vote will take place at the AGM.
  • EMC reserves the right to follow up on any questions or clarifications.

The deadline for submissions is April 18, 2024 at 5 PM ET.
